The present Licenses apply to all model documents and\/or contracts downloaded or purchased from Edilex Inc. as part of your subscription, a one-time purchase, or a subscription (hereinafter “Edilex Products<\/strong>“).<\/p><\/div><\/div><\/div><\/div>

Specific Clauses Applicable to Subscription<\/strong><\/p>

A subscription with Edilex Inc. authorizes you to download any Edilex Product included in your subscription up to a maximum of 30 downloads per month, all protected by the Canadian Copyright Act<\/em> and related international treaties and are the exclusive property of Edilex Inc.<\/p>

Subscribers with Edilex Inc. . are authorized under a non-exclusive license to use, consult, adapt, reproduce, and\/or modify Edilex Products in the usual course of their professional or commercial activities (hereinafter your “License<\/strong>“) and for the duration of their subscription. However, excluded from authorized professional or commercial activities are any publishing activities or any other activities involving the partial or total dissemination of their content to the public by any means.<\/p>

Despite the right to modify or adapt Edilex Products, it is strictly prohibited to remove intellectual property notices from their title page or alter them in any way.<\/p>

Any partial or total reproduction of Edilex Products other than for the previously authorized professional or commercial adaptation purposes is strictly prohibited.<\/p><\/div><\/div><\/div>

<\/strong><\/p>

Specific Clauses Applicable to One-Time Purchase and Subscription<\/strong><\/p>

A one-time purchase and\/or subscription with Edilex Inc. authorizes you to download the purchased Edilex Products, all protected by the Canadian Copyright Act <\/em> and related international treaties and are the exclusive property of Edilex Inc.<\/p>

Clients who have made a one-time purchase and\/or subscription are authorized under a non-exclusive license to use, consult, adapt, reproduce, and\/or modify Edilex Products in the usual course of their professional or commercial activities (hereinafter your ” License<\/strong> “) and for one-time use in the case of a one-time purchase or during the subscription period in the case of a subscription. However, excluded from authorized professional or commercial activities are any publishing activities or any other activities involving the partial or total dissemination of their content to the public by any means.<\/p>

Despite the right to modify or adapt Edilex Products, it is strictly prohibited to remove intellectual property notices from their cover page or alter them in any way.<\/p>

Any partial or total reproduction of Edilex Products other than for the previously authorized professional adaptation purposes is strictly prohibited.<\/p><\/div><\/div><\/div><\/div>

<\/strong><\/p>

General Clauses<\/strong><\/p>

The general clauses apply to your License, whatever its type.<\/p>

It is strictly prohibited to download Edilex Products in contravention of your License, particularly for archiving purposes.<\/p>

To this end, you agree upon Edilex Inc.’s request to:<\/p>

  • Pay Edilex Inc. the sum of $10 for each page of an Edilex Product downloaded or reproduced in contravention of your License;<\/li>
  • Destroy or consent to the destruction of any electronic file containing an Edilex Product downloaded, reproduced, or stored in contravention of your License.<\/li><\/ul>

    The right to use Edilex Products expires when your License ends.<\/p>

    Although Edilex Products are reviewed and revised by Edilex Inc.’s team of lawyers to ensure compliance with applicable laws in Quebec at the time of their drafting, Edilex Inc. cannot in any way guarantee their compliance or usefulness and disclaims any implicit or explicit warranty or condition relating to the content of these documents. Any person interested in using any Edilex Product should consult a legal professional to ensure compliance with their content and application to their particular situation. Edilex inc. is not responsible for any loss or damage suffered in whole or in part attributable to any error or omission on its part regarding the entry, compilation, interpretation, presentation, drafting, communication, updating, or delivery of information contained in Edilex Products. Without limiting the application of the foregoing, Edilex Inc.’s total liability for any claim under the use of Edilex Products or related to this use cannot exceed, as the case may be, the subscription cost or the one-time price of a document.<\/p>

    This agreement constitutes the sole agreement between you and Edilex Inc.<\/p>

    By downloading an Edilex Product, you acknowledge that you have read the terms of your License and agree to comply with them in their entirety. Edilex inc. reserves the right to suspend the subscription if you do not comply with your License and its related terms without prejudice to its other rights and remedies.<\/p>
