Les restrictions sanitaires qui en ont d\u00e9coul\u00e9 ont \u00e9t\u00e9 reconnues \u00e0 maintes reprises comme constituant un cas de force majeure, un motif qui justifie de ne pas remplir ses obligations contractuelles. Toutefois, la pand\u00e9mie de la COVID-19 peut-elle <strong>toujours<\/strong> \u00eatre assimil\u00e9e \u00e0 un cas de force majeure\u2009? Non.<\/p>\n<p>Le <em>Code civil du Qu\u00e9bec<\/em>, \u00e0 l\u2019article\u00a01470, d\u00e9finit la force majeure comme suit\u00a0:<\/p>\n<p>\u00ab\u2009[\u2026] La force majeure est un \u00e9v\u00e9nement impr\u00e9visible et irr\u00e9sistible\u2009; y est assimil\u00e9e la cause \u00e9trang\u00e8re qui pr\u00e9sente ces m\u00eames caract\u00e8res.\u2009\u00bb<\/p>\n<p>Cette d\u00e9finition laconique fait en sorte qu\u2019il est fortement recommand\u00e9 aux parties \u00e0 un contrat de pr\u00e9voir une version contractuelle de la notion de \u00ab\u2009force majeure\u2009\u00bb. De cette fa\u00e7on, elles peuvent y inclure des \u00e9l\u00e9ments qui pourraient ne pas remplir tous les crit\u00e8res de la loi, mais qu\u2019elles consid\u00e8rent tout de m\u00eame comme constituant un emp\u00eachement important contre lequel elles veulent se prot\u00e9ger. En effet, \u00e0 d\u00e9faut d\u2019une d\u00e9finition contractuelle qui \u00e9nonce clairement en quoi consiste un cas de force majeure, en cas de litige, un tribunal exercera sa discr\u00e9tion et interpr\u00e9tera les faits particuliers de l\u2019affaire en question.<\/p>\n<p>C\u2019est donc en se penchant sur les faits particuliers de l\u2019affaire que la Cour sup\u00e9rieure a r\u00e9cemment jug\u00e9 que la pand\u00e9mie de la COVID-19 ne pouvait justifier une partie de refuser de passer titre en mati\u00e8re immobili\u00e8re<a href=\"#_ftn1\" name=\"_ftnref1\">[1]<\/a>.<\/p>\n<p>Une offre d\u2019achat sur l\u2019immeuble des d\u00e9fendeurs est accept\u00e9e en janvier 2020. La signature de l\u2019acte de vente est pr\u00e9vue le 15\u00a0avril 2020, avec prise de possession par les demandeurs le 3\u00a0mai 2020. Toutefois, entre-temps, l\u2019\u00e9tat d\u2019urgence sanitaire est d\u00e9clar\u00e9 par le gouvernement qu\u00e9b\u00e9cois le 13\u00a0mars 2020. Les d\u00e9fendeurs refusent alors de donner suite \u00e0 l\u2019offre d\u2019achat et de vendre l\u2019immeuble. Ces derniers all\u00e8guent que les directives gouvernementales les emp\u00eachaient de trouver une nouvelle r\u00e9sidence r\u00e9pondant \u00e0 leurs besoins et, par cons\u00e9quent, de vendre la leur.<\/p>\n<p>Le tribunal consid\u00e8re que la situation poss\u00e8de bel et bien le caract\u00e8re d\u2019impr\u00e9visibilit\u00e9 requis pour \u00eatre qualifi\u00e9e de force majeure, mais pas celui d\u2019irr\u00e9sistibilit\u00e9. La preuve d\u00e9montre que la pand\u00e9mie de la COVID-19 a rendu plus compliqu\u00e9e l\u2019ex\u00e9cution des obligations des d\u00e9fendeurs, mais n\u2019a pas emp\u00each\u00e9 ces derniers, de mani\u00e8re absolue, de passer l\u2019acte de vente et de donner possession de l\u2019immeuble aux demandeurs aux dates convenues. En effet, les difficult\u00e9s rencontr\u00e9es par les d\u00e9fendeurs pour se trouver une nouvelle r\u00e9sidence r\u00e9pondant \u00e0 toutes leurs exigences dans les d\u00e9lais fix\u00e9s n\u2019ont pas rendu l\u2019ex\u00e9cution de leur obligation de passer titre aux demandeurs absolument impossible.<\/p>\n<p>Le tribunal ajoute que m\u00eame s\u2019il avait conclu \u00e0 l\u2019existence d\u2019un cas de force majeure, les obligations des d\u00e9fendeurs d\u00e9coulant de l\u2019offre d\u2019achat accept\u00e9e n\u2019auraient pas \u00e9t\u00e9 compl\u00e8tement \u00e9teintes. Il n\u2019y aurait eu que suspension de celles-ci. Les d\u00e9lais pr\u00e9vus pour passer titre et prendre possession de l\u2019immeuble ne repr\u00e9sentaient pas une composante capitale de l\u2019offre d\u2019achat. Un retard ne justifiait pas r\u00e9solution. Par ailleurs, rien n\u2019emp\u00eachait les d\u00e9fendeurs de chercher une nouvelle r\u00e9sidence d\u00e8s la reprise des activit\u00e9s immobili\u00e8res en juin 2020 et d\u2019honorer leurs obligations. Pour ces raisons, le recours en passation de titre a \u00e9t\u00e9 accueilli et les d\u00e9fendeurs ont \u00e9t\u00e9 condamn\u00e9s \u00e0 payer aux demandeurs 52\u2009747\u00a0$ \u00e0 titre de dommages-int\u00e9r\u00eats.<\/p>\n<p>Avant de tout bl\u00e2mer sur la pand\u00e9mie de la COVID-19, il faut tout de m\u00eame porter une attention particuli\u00e8re \u00e0 l\u2019application de la doctrine de la force majeure aux faits particuliers de l\u2019affaire.
