{"id":8501,"date":"2015-02-10T00:00:00","date_gmt":"2015-02-10T05:00:00","guid":{"rendered":"https:\/\/wp.edilex.com\/lobligation-de-renseigner-divulgation-du-donneur-dordre\/"},"modified":"2024-03-26T10:58:31","modified_gmt":"2024-03-26T14:58:31","slug":"lobligation-de-renseigner-divulgation-du-donneur-dordre","status":"publish","type":"post","link":"https:\/\/edilex.com\/fr\/blog\/2015\/02\/10\/lobligation-de-renseigner-divulgation-du-donneur-dordre\/","title":{"rendered":"L&rsquo;obligation de renseigner (divulgation) du donneur d&rsquo;ordre"},"content":{"rendered":"<p>Dans une <span style=\"color: #0000ff;\"><a title=\"devis\" href=\"http:\/\/www.canlii.org\/fr\/qc\/qcca\/doc\/2015\/2015qcca159\/2015qcca159.html\"><span style=\"color: #0000ff;\">d\u00e9cision r\u00e9cente<\/span><\/a><\/span>, la Cour d\u2019appel du Qu\u00e9bec s\u2019est pench\u00e9e sur l\u2019\u00e9tendue de l\u2019obligation du donneur d\u2019ordre de renseigner les soumissionnaires et de l\u2019obligation de ceux-ci de se renseigner dans le contexte d\u2019un appel d\u2019offres pour des services professionnels. Cette d\u00e9cision r\u00e9it\u00e8re l\u2019importance pour les soumissionnaires, cr\u00e9anciers de l\u2019obligation de renseignement, c\u2019est-\u00e0-dire ceux \u00e0 qui est due l\u2019information, de respecter eux aussi leur obligation de se renseigner lorsqu\u2019ils poss\u00e8dent le m\u00eame niveau d\u2019expertise que le donneur d\u2019ordre.<\/p>\n<p><strong>Faits<\/strong><\/p>\n<p>Cette affaire oppose le ministre des Ressources naturelles (le \u00ab\u00a0Donneur d\u2019ordre\u00a0\u00bb) et un consortium d\u2019arpenteurs-g\u00e9om\u00e8tres (le \u00ab\u00a0Prestataire\u00a0\u00bb). Dans les faits, le Prestataire s\u2019est vu octroyer un contrat de service \u00e0 la suite d\u2019un appel d\u2019offres ayant pour objectif la r\u00e9novation cadastrale de la ville de Sept-\u00celes et ses environs.<\/p>\n<p>Plus pr\u00e9cis\u00e9ment, le devis relatif au contrat en litige pr\u00e9voyait la r\u00e9novation de 1947 lots cadastraux pour la somme de 368\u00a0000\u00a0$. Il contenait \u00e9galement une mise en garde selon laquelle les informations fournies, dont la liste des lots \u00e0 r\u00e9nover, ne sont pas exhaustives. En 2007, le Prestataire constate qu\u2019il y a en r\u00e9alit\u00e9 2 741 lots \u00e0 r\u00e9nover et non pas 1947, tel qu\u2019initialement pr\u00e9vu. Il estime ainsi que le co\u00fbt unitaire de 73\u00a0$ par lot suppl\u00e9mentaire pr\u00e9vu au contrat n\u2019est pas suffisant vu cet important \u00e9cart.<\/p>\n<p>En raison de cette erreur quant au nombre r\u00e9el de lots \u00e0 r\u00e9nover, le Prestataire intente une action en dommages contre le Donneur d\u2019ordre pour avoir manqu\u00e9 \u00e0 son obligation de renseignement. Il all\u00e8gue entre autres que l\u2019information erron\u00e9e \u00e9tait d\u00e9terminante et qu\u2019elle devait \u00eatre connue par le Donneur d\u2019ordre. Au surplus, le Prestataire souhaite faire d\u00e9clarer abusive la clause pr\u00e9voyant 73\u00a0$ par lot suppl\u00e9mentaire. Les dommages r\u00e9clam\u00e9s par le Prestataire s\u2019\u00e9l\u00e8vent \u00e0 92 111,94\u00a0$.<\/p>\n<p><strong>Premi\u00e8re instance<\/strong><\/p>\n<p>En premi\u00e8re instance, le juge accueille l\u2019action, condamnant toutefois le Donneur d\u2019ordre \u00e0 payer la somme moindre de 32 718\u00a0$ \u00e0 titre de dommages. En effet, il estime que le celui-ci n\u2019a pas respect\u00e9 son obligation de renseignement envers le Prestataire en manquant de diligence lors de la pr\u00e9paration de l\u2019appel d\u2019offres. Le juge ajoute que le Prestataire avait raison de se fier au nombre de lots indiqu\u00e9s par le Donneur d\u2019ordre. Bien que le juge reconnaisse que le Donneur d\u2019ordre ne connaissait pas le nombre r\u00e9el de lots, il estime que ce dernier en avait n\u00e9anmoins une connaissance pr\u00e9sum\u00e9e, invalidant ainsi la mise en garde contenue dans l\u2019appel d\u2019offres.<\/p>\n<p><strong>D\u00e9cision de la Cour d\u2019appel<\/strong><\/p>\n<p>La Cour d\u2019appel infirme le jugement de premi\u00e8re instance. La Cour souligne d\u2019entr\u00e9e de jeu que l\u2019obligation de renseignement doit \u00eatre analys\u00e9e \u00e0 la lumi\u00e8re du contexte particulier des contrats d\u2019entreprise. Ceci requiert notamment l\u2019examen de la question de l\u2019allocation des risques et de l\u2019expertise des parties.<\/p>\n<p>La Cour pr\u00e9cise d\u2019abord que les risques en mati\u00e8re de contrats d\u2019entreprise ou de service sont la plupart du temps support\u00e9s par l\u2019entrepreneur ou le prestataire de service. Or en l\u2019esp\u00e8ce, un prix unitaire forfaitaire \u00e0 l\u2019\u00e9gard des lots suppl\u00e9mentaires est pr\u00e9vu, faisant ainsi assumer une partie des risques au Donneur d\u2019ordre.<\/p>\n<p>Quant \u00e0 l\u2019expertise des parties, la Cour est d\u2019avis que le Prestataire ne se trouve pas dans une position vuln\u00e9rable par rapport au Donneur d\u2019ordre puisque ses arpenteurs-g\u00e9om\u00e8tres sont davantage en mesure d\u2019\u00e9valuer l\u2019\u00e9tendue du travail \u00e0 effectuer \u00e9tant donn\u00e9 leur connaissance des particularit\u00e9s de la r\u00e9gion.<\/p>\n<p>En ce qui concerne la connaissance pr\u00e9sum\u00e9e du Donneur d\u2019ordre quant \u00e0 l\u2019information erron\u00e9e, la Cour ne partage pas l\u2019avis du juge de premi\u00e8re instance. En effet, elle estime que celui-ci ne disposait que d\u2019une expertise g\u00e9n\u00e9rale en la mati\u00e8re, ne permettant donc pas de pr\u00e9sumer qu\u2019il avait connaissance du nombre r\u00e9el de lots \u00e0 r\u00e9nover.<\/p>\n<p>Dans son analyse relative \u00e0 l\u2019obligation de se renseigner, la Cour statue que le Prestataire ne pouvait \u00e9chapper \u00e0 celle-ci. Premi\u00e8rement, \u00e9tant donn\u00e9 qu\u2019il ne se trouvait pas dans une position vuln\u00e9rable par rapport au Donneur d\u2019ordre, le Prestataire ne pouvait croire que ce dernier allait lui fournir de l\u2019information d\u00e9terminante. En effet, la Cour r\u00e9it\u00e8re que 1) l\u2019expertise du Prestataire de service est \u00e9quivalente \u00e0 celle du Donneur d\u2019ordre; 2) le Donneur d\u2019ordre \u00e9tait dans l\u2019impossibilit\u00e9 d\u2019obtenir l\u2019information; et 3) l\u2019appel d\u2019offres pr\u00e9voit une mise en garde quant \u00e0 la n\u00e9cessit\u00e9 pour les soumissionnaires de se renseigner.<\/p>\n<p>En raison de ce qui pr\u00e9c\u00e8de, la Cour conclut que le Prestataire a agi de mani\u00e8re n\u00e9gligente et imprudente en ne cherchant pas \u00e0 se renseigner, l\u2019emp\u00eachant ainsi d\u2019invoquer que le Donneur d\u2019ordre n\u2019a pas respect\u00e9 son obligation de renseignement.<\/p>\n<p>Cette d\u00e9cision nous enseigne donc que l\u2019obligation de se renseigner des soumissionnaires att\u00e9nue l\u2019obligation de renseignement (divulgation) du donneur d\u2019ordre lorsque nous sommes en pr\u00e9sence de parties poss\u00e9dant une expertise \u00e9quivalente.<\/p>\n<p>NB: l&rsquo;auteur remercie St\u00e9phanie St-Pierre qui a contribu\u00e9 \u00e0 la pr\u00e9paration de ce blogue.\u00a0<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Dans une d\u00e9cision r\u00e9cente, la Cour d\u2019appel du Qu\u00e9bec s\u2019est pench\u00e9e sur l\u2019\u00e9tendue de l\u2019obligation du donneur d\u2019ordre de renseigner les soumissionnaires [&hellip;]<\/p>\n","protected":false},"author":15,"featured_media":0,"comment_status":"closed","ping_status":"open","sticky":false,"template":"","format":"standard","meta":{"inline_featured_image":false,"footnotes":""},"categories":[20],"tags":[],"class_list":["post-8501","post","type-post","status-publish","format-standard","hentry","category-actualites-juridiques"],"yoast_head":"<!-- This site is optimized with the Yoast SEO Premium plugin v27.1 (Yoast SEO v27.5) -
