{"id":8519,"date":"2015-03-27T00:00:00","date_gmt":"2015-03-27T04:00:00","guid":{"rendered":"https:\/\/wp.edilex.com\/contrats-publics-le-refus-daccorder-une-autorisation-en-vertu-de-la-lcop-et-le-respect-du-droit-a-une-defense-pleine-et-entiere\/"},"modified":"2024-03-26T10:58:19","modified_gmt":"2024-03-26T14:58:19","slug":"contrats-publics-le-refus-daccorder-une-autorisation-en-vertu-de-la-lcop-et-le-respect-du-droit-a-une-defense-pleine-et-entiere","status":"publish","type":"post","link":"https:\/\/edilex.com\/fr\/blog\/2015\/03\/27\/contrats-publics-le-refus-daccorder-une-autorisation-en-vertu-de-la-lcop-et-le-respect-du-droit-a-une-defense-pleine-et-entiere\/","title":{"rendered":"Contrats publics: le refus d&rsquo;accorder une autorisation en vertu de la LCOP et le respect du droit \u00e0 une d\u00e9fense pleine et enti\u00e8re"},"content":{"rendered":"<p style=\"text-align: justify;\">La semaine derni\u00e8re, je publiais <a href=\"http:\/\/www.edilex.com\/blogue\/amf-le-refus-dautoriser-une-entreprise-a-contracter-avec-les-organismes-publics-en-raison-de-son-manque-dintegrite#axzz3VaUa9c8o\" target=\"_blank\" rel=\"noopener noreferrer\"><span style=\"text-decoration: underline; color: #0000ff;\">un blogue<\/span><\/a> qui examinait\u00a0<span style=\"text-decoration: underline;\"><span style=\"text-decoration: underline;\"><span style=\"text-decoration: underline;\"><a href=\"https:\/\/www.canlii.org\/fr\/qc\/qccs\/doc\/2015\/2015qccs939\/2015qccs939.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">une d\u00e9cision<\/a><\/span><\/span><\/span><span style=\"color: #000000;\">\u00a0dans laquelle la Cour sup\u00e9rieure a rejet\u00e9\u00a0<\/span>une requ\u00eate en r\u00e9vision judiciaire contestant le refus de l\u2019AMF d\u2019accorder une autorisation en vertu de la <em>Loi sur les contrats des organismes publics<\/em>\u00a0(\u00abLCOP\u00bb). Cette d\u00e9cision s\u2019inscrit dans un courant jurisprudentiel refl\u00e9tant une certaine tendance des tribunaux \u00e0 rejeter les requ\u00eates en r\u00e9vision judiciaire en mati\u00e8re d\u2019autorisation de contracter avec les organismes publics. Or, il est int\u00e9ressant de se pencher sur les cas o\u00f9 les tribunaux ont accueilli une telle requ\u00eate.<\/p>\n<p style=\"text-align: justify;\">\u00c0 ce sujet, la d\u00e9cision <a href=\"https:\/\/www.canlii.org\/fr\/qc\/qccs\/doc\/2015\/2015qccs509\/2015qccs509.html?resultIndex=3\" target=\"_blank\" rel=\"noopener noreferrer\"><em><span style=\"text-decoration: underline;\"><span style=\"color: #0000ff; text-decoration: underline;\">Terra Location inc. c. Autorit\u00e9 des march\u00e9s financiers<\/span><\/span><\/em>\u00a0<\/a>s\u2019av\u00e8re pertinente. Dans cette affaire, l\u2019entreprise de construction Terra Location inc. (\u00abTerra\u00bb) demande la r\u00e9vision d\u2019une d\u00e9cision de l\u2019AMF refusant d&rsquo;accorder l&rsquo;autorisation de contracter avec un organisme public pour une somme sup\u00e9rieure \u00e0 5 millions de dollars.<\/p>\n<p style=\"text-align: justify;\">Dans sa requ\u00eate, Terra reproche notamment \u00e0 l\u2019AMF de ne pas avoir respect\u00e9 les r\u00e8gles d\u2019\u00e9quit\u00e9 proc\u00e9durales. Plus pr\u00e9cis\u00e9ment, elle all\u00e8gue que l\u2019AMF a fait d\u00e9faut de respecter la r\u00e8gle <em>audi alteram partem<\/em> et, par le fait m\u00eame, son droit \u00e0 une d\u00e9fense pleine et enti\u00e8re. Les faits reproch\u00e9s \u00e0 l\u2019AMF se r\u00e9sument comme suit\u00a0:<\/p>\n<p style=\"margin-left: 30px; text-align: justify;\">[31]\u00a0Tout d&rsquo;abord, le pr\u00e9avis de refus transmis par l\u2019AMF le 17 f\u00e9vrier 2014 pr\u00e9cise \u00e0 Terra que \u00ab\u00a0[\u2026]<em> l\u2019Autorit\u00e9 des march\u00e9s financiers <\/em>[\u2026] <em>a re\u00e7u du Commissaire associ\u00e9 <\/em>[\u2026] <em>un avis \u00e0 l\u2019\u00e9gard de Terra indiquant qu\u2019il est recommand\u00e9 de refuser l\u2019autorisation demand\u00e9e<\/em>\u00a0\u00bb.<\/p>\n<p style=\"margin-left: 30px; text-align: justify;\">[32]\u00a0Le pr\u00e9avis reprend ensuite, \u00e0 quelques mots pr\u00e8s, les quatre motifs \u00e9nonc\u00e9s \u00e0 l\u2019avis d\u00e9favorable du Commissaire associ\u00e9, et celui qui nous int\u00e9resse particuli\u00e8rement reproche \u00e0 Terra celui d\u2019avoir \u00e9lud\u00e9 ou tent\u00e9 d\u2019\u00e9luder l\u2019observation de la loi \u00ab\u00a0<em>en utilisant deux sous-traitants identifi\u00e9s comme \u00e9tant des fournisseurs de factures de complaisance<\/em>\u00a0\u00bb.<\/p>\n<p style=\"margin-left: 30px; text-align: justify;\">[33]\u00a0Le fait de soulever ainsi l\u2019existence de factures de complaisance constitue \u00e9videmment une accusation s\u00e9rieuse, qui met directement en cause l\u2019int\u00e9grit\u00e9 de la demanderesse et de ses administrateurs. [&#8230;]<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">[34]\u00a0On remarque bien s\u00fbr \u2013 au contraire de ces deux pr\u00e9c\u00e9dents \u2013 que Terra n\u2019est pas accus\u00e9e d\u2019avoir <span style=\"text-decoration: underline;\">particip\u00e9<\/span> \u00e0 un syst\u00e8me de fausse facturation ou d\u2019avoir <span style=\"text-decoration: underline;\">demand\u00e9<\/span> des factures de complaisance, mais plut\u00f4t d\u2019avoir <span style=\"text-decoration: underline;\">utilis\u00e9<\/span> deux sous-traitants qui fourniraient de telles factures.<\/p>\n<p style=\"text-align: justify;\">Le pr\u00e9avis de refus d\u00e9crit ci-dessus est \u00e9mis en vertu des articles 21.37 LCOP et 5 de la <em>Loi sur la justice administrative<\/em>. L\u2019envoi de cet avis est suivi d\u2019une p\u00e9riode permettant au requ\u00e9rant de pr\u00e9senter ses observations. Ainsi, comme l\u2019all\u00e9gation concernant les factures de complaisance ne pr\u00e9cisait pas le nom des sous-traitants vis\u00e9s, Terra a demand\u00e9 des explications additionnelles \u00e0 l\u2019AMF. Or, la r\u00e9ponse de cette derni\u00e8re n\u2019a pas permis \u00e0 Terra d\u2019obtenir les pr\u00e9cisions n\u00e9cessaires pour \u00eatre en mesure de pr\u00e9senter ses observations. En effet, l\u2019AMF lui a simplement indiqu\u00e9 qu\u2019elle ne disposait pas de l\u2019information permettant d\u2019identifier les sous-traitants.<\/p>\n<p style=\"text-align: justify;\">L\u2019AMF soutient plut\u00f4t que Revenu Qu\u00e9bec a identifi\u00e9 les sous-traitants en question et que \u00a0cons\u00e9quemment, Terra poss\u00e9dait l\u2019information n\u00e9cessaire afin de pr\u00e9senter ses observations.<\/p>\n<p style=\"text-align: justify;\">Dans sa d\u00e9cision, la Cour donne d\u2019abord raison \u00e0 Terra quant \u00e0 la norme de contr\u00f4le applicable au motif fond\u00e9 sur l\u2019\u00e9quit\u00e9 proc\u00e9durale. En effet, elle pr\u00e9cise qu\u2019en cas d&rsquo;atteinte \u00e0 un principe de justice naturelle, c&rsquo;est la norme de d\u00e9cision correcte qui trouve application.<\/p>\n<p style=\"text-align: justify;\">La Cour est d\u2019avis que le manque de pr\u00e9cisions de l\u2019AMF soul\u00e8ve les questions suivantes:<\/p>\n<p style=\"margin-left: 30px; text-align: justify;\">a) comment Terra fait-elle pour se d\u00e9fendre \u00e0 ces accusations, sans conna\u00eetre l\u2019identit\u00e9 de ceux qu\u2019on lui reproche de fr\u00e9quenter, ni la date de ces fr\u00e9quentations?<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">b)\u00a0comment Terra fait-elle pour aller chercher de l\u2019information pr\u00e9alable aupr\u00e8s des autorit\u00e9s fiscales, quand seule la d\u00e9cision finale du 6 juin 2014 r\u00e9f\u00e8re \u00e0 Revenu Qu\u00e9bec? O\u00f9 doit-elle chercher l\u2019information?<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">c)\u00a0Revenu Qu\u00e9bec aurait-elle r\u00e9v\u00e9l\u00e9 l\u2019identit\u00e9 des deux sous-traitants \u00e0 Terra\u00a0\u2013 l\u2019e\u00fbt-elle demand\u00e9 \u2013 alors qu\u2019elle ne fournissait m\u00eame pas l\u2019information \u00e0 son alli\u00e9e l\u2019UPAC, et encore moins \u00e0 l\u2019AMF?<\/p>\n<p style=\"padding-left: 30px; text-align: justify;\">d)\u00a0\u00a0Dans ces circonstances, comment peut-on s\u00e9rieusement pr\u00e9tendre avoir inform\u00e9 l\u2019administr\u00e9 de \u00ab\u00a0la teneur des plaintes\u00a0\u00bb qu\u2019on lui adresse (selon l\u2019article 5 LJA), ou que celui-ci conna\u00eet \u00ab\u00a0les faits qu\u2019on entend lui opposer\u00a0\u00bb (selon l\u2019arr\u00eat May).<\/p>\n<p style=\"text-align: justify;\">Ainsi, la Cour conclut \u00e0 une violation des r\u00e8gles d\u2019\u00e9quit\u00e9 proc\u00e9durale puisque Terra n&rsquo;\u00e9tait pas en mesure \u00abde se d\u00e9fendre \u00e0 une accusation particuli\u00e8rement vague, et par surcro\u00eet non contr\u00f4l\u00e9e par l\u2019autorit\u00e9 qui lui reproche\u00bb. \u00a0Elle estime qu\u2019il ne revient pas \u00e0 Terra de \u00abcompl\u00e9ter la preuve de ce dont on l\u2019accuse, dans ces circonstances o\u00f9 l\u2019AMF ignore elle-m\u00eame la nature pr\u00e9cise et l\u2019ampleur de ce qu\u2019elle [lui] reproche\u00bb.<\/p>\n<p style=\"text-align: justify;\">Vu le non-respect du droit de Terra \u00e0 une d\u00e9fense pleine et enti\u00e8re,\u00a0la Cour a invalid\u00e9 la d\u00e9cision de l\u2019AMF.<\/p>\n<p style=\"text-align: justify;\">Cette d\u00e9cision nous enseigne donc que le pr\u00e9avis de refus \u00e9mis en vertu de la LCOP doit indiquer l&rsquo;information n\u00e9cessaire afin que l&rsquo;entreprise soit en mesure de pr\u00e9senter ses observations, sans quoi un tel refus pourrait porter atteinte aux r\u00e8gles d&rsquo;\u00e9quit\u00e9 proc\u00e9durale.\u00a0<\/p>\n","protected":false},"excerpt":{"rendered":"<p>La semaine derni\u00e8re, je publiais un blogue qui examinait\u00a0une d\u00e9cision\u00a0dans laquelle la Cour sup\u00e9rieure a rejet\u00e9\u00a0une requ\u00eate en r\u00e9vision judiciaire contestant le [&hellip;]<\/p>\n","protected":false},"author":15,"featured_media":0,"comment_status":"closed","ping_status":"open","sticky":false,"template":"","format":"standard","meta":{"inline_featured_image":false,"footnotes":""},"categories":[20],"tags":[],"class_list":["post-8519","post","type-post","status-publish","format-standard","hentry","category-actualites-juridiques"],"yoast_head":"<!-- This site is optimized with the Yoast SEO Premium plugin v27.1 (Yoast SEO v27.5) -
