{"id":8531,"date":"2015-04-29T16:14:11","date_gmt":"2015-04-29T20:14:11","guid":{"rendered":"https:\/\/wp.edilex.com\/recent-jugement-de-la-cour-dappel-en-matiere-de-faculte-de-dedit\/"},"modified":"2024-03-26T10:58:12","modified_gmt":"2024-03-26T14:58:12","slug":"recent-jugement-de-la-cour-dappel-en-matiere-de-faculte-de-dedit","status":"publish","type":"post","link":"https:\/\/edilex.com\/fr\/blog\/2015\/04\/29\/recent-jugement-de-la-cour-dappel-en-matiere-de-faculte-de-dedit\/","title":{"rendered":"R\u00e9cent jugement de la Cour d&rsquo;appel en mati\u00e8re de facult\u00e9 de d\u00e9dit!"},"content":{"rendered":"<p>Dans <span style=\"text-decoration: underline; color: #3366ff;\"><a href=\"https:\/\/www.canlii.org\/fr\/qc\/qcca\/doc\/2015\/2015qcca687\/2015qcca687.pdf\" target=\"_blank\" rel=\"noopener noreferrer\"><span style=\"color: #3366ff; text-decoration: underline;\">un jugement r\u00e9cent<\/span><\/a><\/span> portant sur la possibilit\u00e9 de se d\u00e9dire d&rsquo;une offre d&rsquo;achat d&rsquo;actifs, la Cour d&rsquo;appel a donn\u00e9 raison \u00e0 Pharmaprix inc. (\u00abPharmaprix\u00bb), agissant en tant qu&rsquo;intim\u00e9e dans un litige l&rsquo;opposant \u00e0 deux pharmaciens et leur pharmacie (les \u00abAppelants\u00bb). Au terme de son analyse, la Cour rejette le pourvoi, \u00e9tant d&rsquo;avis que le jugement de premi\u00e8re instance ne comportait aucune erreur manifeste et dominante.<\/p>\n<p>\u00c0 la suite d&rsquo;une p\u00e9riode de n\u00e9gociations, Pharmaprix soumet une offre d&rsquo;achat d&rsquo;actifs aux Appelants. Par le biais de cette offre, Pharmaprix a l&rsquo;intention d&rsquo;effectuer un transfert des actifs des Appelants vers sa propre pharmacie, de fa\u00e7on \u00e0 emp\u00eacher tout concurrent de s&rsquo;y \u00e9tablir.<\/p>\n<p>Les Appelants acceptent cette offre, et ce, tout en \u00e9tant au fait des intentions de Pharmaprix. Suivant cette acceptation, Pharmaprix entame le processus de v\u00e9rification diligente auquel l&rsquo;offre est assujettie. Cet exercice comprend, entre autres choses, l&rsquo;examen d&rsquo;un bail intervenu entre les Appelants et leur locateur quant aux lieux occup\u00e9s par la pharmacie faisant l&rsquo;objet de l&rsquo;offre. Pharmaprix remarque alors que le bail contient une \u00abclause d&rsquo;exploitation continue d&rsquo;une pharmacie dans les lieux pour toute sa dur\u00e9e\u00bb. Ce faisant, elle tente, en vain, de n\u00e9gocier avec le locateur afin de modifier le bail.<\/p>\n<p>Au surplus, le locateur lui fait parvenir une mise en demeure indiquant son intention d&rsquo;intenter des proc\u00e9dures judiciaires en cas de non-respect de la clause d&rsquo;exploitation.\u00a0Pour ces raisons, les parties n&rsquo;ont pas proc\u00e9d\u00e9 \u00e0 la cl\u00f4ture de la transaction.<\/p>\n<p>Malgr\u00e9 les d\u00e9marches entreprises \u00e0 la suite de ce refus, Pharmaprix ne parvient pas \u00e0 r\u00e9gler la situation. Ainsi, \u00e0\u00a0la reprise des n\u00e9gociations, Pharmaprix pr\u00e9sente une offre dont le montant est inf\u00e9rieur \u00e0 celui initialement pr\u00e9vu, ce qui donne lieu \u00e0 une r\u00e9clamation de la part des Appelants. Ces derniers reprochent \u00e0 Pharmaprix de ne pas avoir respect\u00e9 l&rsquo;offre initiale et leur r\u00e9clament la somme de 999 104$, repr\u00e9sentant \u00abla diff\u00e9rence entre le prix de vente convenu \u00e0 l&rsquo;offre et le montant obtenu lors de la vente de la pharmacie \u00e0 un tiers\u00bb.<\/p>\n<p>En appel, les Appelants invoquent que la juge de premi\u00e8re instance a err\u00e9 quant \u00e0 l&rsquo;interpr\u00e9tation \u00e0 donner \u00e0 l&rsquo;offre d&rsquo;achat d&rsquo;actifs. Plus particuli\u00e8rement, ils sont d&rsquo;avis que deux des clauses pr\u00e9vues dans l&rsquo;offre restreignent les modifications possibles \u00abaux seuls changements requis pour permettre \u00e0 l&rsquo;intim\u00e9e de g\u00e9rer la Pharmacie comme les autres magasins du groupe\u00bb. Or, la Cour d&rsquo;appel rejette ce moyen et se prononce comme suit quant \u00e0 la facult\u00e9 de d\u00e9dit dont b\u00e9n\u00e9ficiait Pharmaprix:<\/p>\n<p style=\"padding-left: 30px;\">[18] L\u2019article 6.1.5 accorde \u00e0 l\u2019intim\u00e9e une discr\u00e9tion de se retirer de la transaction \u00e0 la condition que l\u2019examen du Bail le justifie. Apr\u00e8s l\u2019avoir \u00e9tudi\u00e9, l\u2019intim\u00e9e se d\u00e9clare non satisfaite de la clause d\u2019exploitation continue en ce qu\u2019elle ne lui permet pas de fermer la Pharmacie et de transf\u00e9rer ses actifs comme pr\u00e9vu. La juge de premi\u00e8re instance conclut, \u00e0 bon droit, que l\u2019intim\u00e9e pouvait d\u00e8s lors se d\u00e9dire et mettre fin \u00e0 l\u2019Offre. Une telle conclusion demeure \u00e0 l\u2019int\u00e9rieur des situations envisag\u00e9es par l\u2019article\u00a06.1.5\u00a0: \u00ab\u00a0[\u2026] Les transactions pr\u00e9vues \u00e0 la pr\u00e9sente Offre seront conditionnelles \u00e0 la satisfaction de [l\u2019intim\u00e9e], en sa seule discr\u00e9tion, des r\u00e9sultats de ses examens et v\u00e9rifications des Actifs de la Pharmacie, [\u2026] y compris, sans limitation, l\u2019examen des modalit\u00e9s du Bail, [\u2026]\u00a0\u00bb.<\/p>\n<p style=\"padding-left: 30px;\">[19] Cette conclusion de la juge de premi\u00e8re instance n\u2019est pas non plus contraire \u00e0 l\u2019article 6.1.12 de l\u2019Offre, qui n\u2019a pas la port\u00e9e que les appelants lui accordent. Cette disposition ne peut \u00eatre lue en vase clos, mais doit \u00eatre interpr\u00e9t\u00e9e en tenant compte de l\u2019article 6.1.5 et \u00ab\u00a0[\u2026] en donnant \u00e0 chacune le sens qui r\u00e9sulte de l\u2019ensemble du contrat\u00a0\u00bb (art.\u00a01427\u00a0<i>C.c.Q.<\/i>). Lues conjointement, ces dispositions permettent \u00e0 l\u2019intim\u00e9e, qui s\u2019estimerait \u00e0 bon droit insatisfaite du Bail selon la clause\u00a06.1.5, de tenter de trouver une solution avec le Locateur et ainsi amender le Bail en cons\u00e9quence, pourvu que les amendements n\u2019engagent pas la responsabilit\u00e9 financi\u00e8re des appelants. C\u2019est ainsi qu\u2019il faut comprendre la derni\u00e8re phrase de l\u2019article\u00a06.1.12. Celle-ci pr\u00e9cise qu\u2019aucun amendement convenu par l\u2019intim\u00e9e \u00ab\u00a0[\u2026] n\u2019affectera la dur\u00e9e ou les conditions mon\u00e9taires du Bail\u00a0\u00bb. Ainsi, le fait que l\u2019article\u00a06.1.12 circonscrive les amendements possibles ne peut limiter la possibilit\u00e9 pour l\u2019intim\u00e9e de convenir d\u2019amendements au Bail avec le Locateur (sous r\u00e9serve des cons\u00e9quences de celles-ci sur les obligations financi\u00e8res des appelants) qui lui permettrait de s\u2019en d\u00e9clarer satisfaite selon l\u2019article\u00a06.1.5.<\/p>\n<p>Ainsi, l&rsquo;offre pr\u00e9sent\u00e9e par Pharmaprix comportait une facult\u00e9 de d\u00e9dit.
