{"id":8548,"date":"2015-06-10T17:54:26","date_gmt":"2015-06-10T21:54:26","guid":{"rendered":"https:\/\/wp.edilex.com\/recente-decision-de-la-cour-dappel-sur-lobligation-a-terme-suspensif\/"},"modified":"2024-03-26T10:58:03","modified_gmt":"2024-03-26T14:58:03","slug":"recente-decision-de-la-cour-dappel-sur-lobligation-a-terme-suspensif","status":"publish","type":"post","link":"https:\/\/edilex.com\/fr\/blog\/2015\/06\/10\/recente-decision-de-la-cour-dappel-sur-lobligation-a-terme-suspensif\/","title":{"rendered":"R\u00e9cente d\u00e9cision de la Cour d&rsquo;appel sur l&rsquo;obligation \u00e0 terme suspensif!"},"content":{"rendered":"<p>Dans une <a href=\"https:\/\/www.canlii.org\/fr\/qc\/qcca\/doc\/2015\/2015qcca969\/2015qcca969.pdf\" target=\"_blank\" rel=\"noopener noreferrer\"><span style=\"text-decoration: underline; color: #0000ff;\">d\u00e9cision r\u00e9cente<\/span><\/a>, la Cour d&rsquo;appel a statu\u00e9 que la suspension de l&rsquo;exigibilit\u00e9 du paiement du solde du prix de vente jusqu&rsquo;\u00e0 la signature d&rsquo;un protocole d&rsquo;entente entre l&rsquo;acheteuse et une municipalit\u00e9 constitue une obligation \u00e0 terme suspensif.<\/p>\n<p>Dans cette affaire, l&rsquo;appelante vend plusieurs terrains \u00e0 l&rsquo;intim\u00e9e. Celle-ci envisage de d\u00e9velopper un projet domiciliaire dans la ville de Trois-Rivi\u00e8res. Ce faisant, l&rsquo;intim\u00e9e verse un acompte sur le prix de vente et les parties conviennent de r\u00e9partir le solde sur deux versements de 150 000$, \u00e0 intervalle d&rsquo;un an.<\/p>\n<p>\u00c0 cet \u00e9gard, le contrat de vente stipule que les dates pr\u00e9vues pour le paiement du solde du prix de vente ne sont pas de rigueur. En effet, il est pr\u00e9vu que ces dates sont sujettes \u00e0 changement puisqu&rsquo;elles d\u00e9pendent de la date de la signature d&rsquo;un protocole d&rsquo;entente entre l&rsquo;appelante et la ville de Trois-Rivi\u00e8res. Ce protocole d&rsquo;entente vise \u00e0 permettre la construction d&rsquo;un service d&rsquo;\u00e9gouts et d&rsquo;aqueducs. Le contrat pr\u00e9voit de plus que le d\u00e9lai de signature est susceptible d&rsquo;atteindre 2 ans.<\/p>\n<p>Dans son analyse, la Cour s&rsquo;appuie sur les principes \u00e9nonc\u00e9s par l&rsquo;article 1508 C.c.Q. et se prononce comme suit:<\/p>\n<div title=\"Page 6\"><\/p>\n<div><\/p>\n<div><\/p>\n<p style=\"padding-left: 90px;\">[14] La qualification juridique donn\u00e9e par le juge de premi\u00e8re instance \u00e0 la clause pertinente de l\u2019acte de vente portant sur le prix est, soit dit avec \u00e9gards, erron\u00e9e. De l\u2019avis de ce dernier, il s\u2019agit d\u2019une \u00ab condition \u00bb ainsi qu\u2019il l\u2019\u00e9crit au paragraphe 28 de son jugement cit\u00e9 pr\u00e9c\u00e9demment5. Or, de l\u2019avis de la Cour, il s\u2019agit plut\u00f4t d\u2019une obligation \u00e0 terme suspensif au sens de l\u2019article 1508 C.c.Q., lequel est ainsi libell\u00e9 :<\/p>\n<p><\/div>\n<p><\/div>\n<p><\/p>\n<div style=\"padding-left: 30px;\"><\/p>\n<div style=\"padding-left: 30px;\"><\/p>\n<p style=\"padding-left: 30px;\">1508. L\u2019obligation est \u00e0 terme suspensif lorsque son exigibilit\u00e9 seule est suspendue jusqu\u2019\u00e0 l\u2019arriv\u00e9e d\u2019un \u00e9v\u00e9nement futur et certain.<\/p>\n<p style=\"padding-left: 30px;\">[15] Les parties ont pr\u00e9vu que le paiement du solde du prix de vente deviendrait exigible \u00e0 des dates pr\u00e9cises. Le premier versement devenait d\u00fb le 3 octobre 2012 et le deuxi\u00e8me, le 3 octobre 2013. Ces dates, toutefois, ne sont pas de rigueur. Elles pouvaient \u00eatre ajust\u00e9es en fonction de la signature d\u2019un protocole d\u2019entente avec la Ville, les parties \u00e9tant conscientes qu\u2019un d\u00e9lai de deux ans \u00e9tait possible en raison des probl\u00e8mes reli\u00e9s \u00e0 la capacit\u00e9 de desserte en eau potable de la Ville. La signature du protocole d\u2019entente, un \u00e9v\u00e9nement certain pour les parties, rendait toutefois les paiements exigibles. Bref, seule la date de la signature dudit protocole \u00e9tait ind\u00e9termin\u00e9e.<\/p>\n<p><\/div>\n<p><\/div>\n<p><\/p>\n<div style=\"padding-left: 30px;\"><\/p>\n<div style=\"padding-left: 30px;\"><\/p>\n<p style=\"padding-left: 30px;\">[16] C\u2019est la raison pour laquelle la Cour en vient \u00e0 la conclusion qu\u2019elle est en pr\u00e9sence d\u2019une obligation \u00e0 terme suspensif. L\u2019obligation de l\u2019intim\u00e9e de payer le prix de vente et l\u2019obligation de l\u2019appelante de transf\u00e9rer la propri\u00e9t\u00e9 des terrains sont n\u00e9es lors de la signature du contrat. Seule l\u2019exigibilit\u00e9 du paiement a \u00e9t\u00e9 suspendue jusqu\u2019\u00e0 la signature d\u2019un protocole d\u2019entente entre l\u2019intim\u00e9e et la Ville. Le juge commet ainsi une erreur en droit lorsqu\u2019il qualifie la clause litigieuse de condition.
