Il ressortait de ce billet que le donneur d&rsquo;ordre dispose d&rsquo;une certaine latitude quant \u00e0&nbsp;l&rsquo;application de ce type de clause. Plus r\u00e9cemment, la Cour du Qu\u00e9bec a d\u00fb se pencher sur le droit du donneur d&rsquo;ordre de se pr\u00e9valoir de la clause de r\u00e9serve malgr\u00e9 une faute de sa part concernant la publication d&rsquo;un addenda en lien avec une&nbsp;condition d&rsquo;admissibilit\u00e9.<\/p>\n<p><strong>Mise en contexte<\/strong><\/p>\n<p>Dans <span style=\"text-decoration: underline;\"><span style=\"color: #0000ff;\"><a style=\"color: #0000ff; text-decoration: underline;\" href=\"http:\/\/www.canlii.org\/fr\/qc\/qccq\/doc\/2015\/2015qccq6143\/2015qccq6143.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">cette affaire<\/a><\/span><\/span>, la demanderesse Les Entreprises Dumas &amp; Fils (\u00ab<strong>Dumas<\/strong>\u00bb) intente une poursuite en dommages contre le&nbsp;d\u00e9fendeur, le Centre de Sant\u00e9 et de Services Sociaux Alphonse-Desjardins (\u00ab<strong>CSSSAD<\/strong>\u00bb), au motif que sa soumission aurait d\u00fb&nbsp;\u00eatre retenue. L&rsquo;appel d&rsquo;offres en cause vise l&rsquo;octroi d&rsquo;un contrat d&rsquo;entretien paysager. Parmi les conditions d&rsquo;admissibilit\u00e9, le CSSSAD exige que les soumissionnaires soient membres de l&rsquo;Association des paysagistes professionnels du Qu\u00e9bec (l&rsquo;\u00ab<strong>APPQ<\/strong>\u00bb). Or, cette exigence fait l&rsquo;objet d&rsquo;un addenda, lequel exige plut\u00f4t que les soumissionnaires soient membres de l&rsquo;Association des services en horticulture ornementale du Qu\u00e9bec (l&rsquo;\u00ab<strong>ASHOQ<\/strong>\u00bb). Cet addenda n&rsquo;a cependant pas correctement \u00e9t\u00e9 publi\u00e9 sur le SEAO.<\/p>\n<p>Au terme du processus d&rsquo;appel d&rsquo;offres, le CSSAD re\u00e7oit quatre soumissions. Celle de Dumas est la plus \u00e9lev\u00e9e.&nbsp;La soumission la plus basse s&rsquo;av\u00e9rant non-conforme, le contrat est alors adjug\u00e9 au deuxi\u00e8me soumissionnaire pour la somme de 94 258,87 $. Peu de temps apr\u00e8s la publication de ce contrat, Dumas avise le CSSSAD que le soumissionnaire retenu n&rsquo;est pas membre de l&rsquo;APPQ. C&rsquo;est \u00e0 ce moment que le CSSSAD constate que l&rsquo;addenda n&rsquo;a pas \u00e9t\u00e9 publi\u00e9. Dumas le met donc en demeure d&rsquo;annuler le contrat et de lui accorder.<\/p>\n<p>De son c\u00f4t\u00e9, le CSSSAD indique \u00e0 Dumas que le contrat ne lui aurait de toute fa\u00e7on pas \u00e9t\u00e9 adjug\u00e9 puisque le prix soumissionn\u00e9 d\u00e9passe de loin le budget convenu. Il qualifie la soumission de Dumas de d\u00e9raisonnable et excessive. Le CSSSAD souligne \u00e9galement que les documents d&rsquo;appel d&rsquo;offres contiennent une clause de r\u00e9serve lui permettant d&rsquo;annuler l&rsquo;appel d&rsquo;offres. N\u00e9anmoins, le CSSSAD a d\u00e9cid\u00e9 d&rsquo;annuler le contrat conclu avec le deuxi\u00e8me soumissionnaire et de plut\u00f4t conclure un contrat de gr\u00e9 \u00e0 gr\u00e9. Il lance ainsi un appel d&rsquo;offres visant une p\u00e9riode de trois ans. Le contrat est alors adjug\u00e9 \u00e0 une autre entreprise.<\/p>\n<p><strong>D\u00e9cision<\/strong><\/p>\n<p>D&rsquo;entr\u00e9e de jeu, la Cour rappelle que l&rsquo;obligation la plus importante des donneurs d&rsquo;ordre est de respecter l&rsquo;\u00e9galit\u00e9 entre les soumissionnaires. Pour r\u00e9ussir dans sa demande, Dumas a le fardeau de prouver 1) qu&rsquo;il a pr\u00e9sent\u00e9 une soumission conforme; 2) que le soumissionnaire retenu a pr\u00e9sent\u00e9 une soumission non-conforme; et 3) qu&rsquo;il \u00e9tait plus probable que sans cette non-conformit\u00e9 de la soumission retenue, le contrat lui aurait \u00e9t\u00e9 octroy\u00e9.<\/p>\n<p>Puisque les deux premiers points ne sont pas probl\u00e9matiques, la Cour concentre son analyse sur le troisi\u00e8me volet. La Cour explique que m\u00eame si le CSSSAD n&rsquo;avait pas annul\u00e9 l&rsquo;appel d&rsquo;offres, le prix soumissionn\u00e9 par Dumas \u00e9tait trop \u00e9lev\u00e9 par rapport au budget disponible. Ce faisant, la soumission de Dumas n&rsquo;aurait pas \u00e9t\u00e9 retenue. De plus, la Cour \u00e9nonce que le CSSSAD pouvait se pr\u00e9valoir de la clause de r\u00e9serve malgr\u00e9 la faute qu&rsquo;il a commise quant \u00e0 l&rsquo;addenda. La Cour \u00e9crit ce qui suit au sujet de la conduite du CSSSAD:<\/p>\n<div class=\"page\" title=\"Page 6\">\n<div class=\"section\">\n<div class=\"layoutArea\">\n<div class=\"column\">\n<p style=\"padding-left: 30px;\">[35] En pr\u00e9sence d\u2019une clause de r\u00e9serve et s\u2019il existe des motifs budg\u00e9taires d\u2019\u00e9carter le premier appel, le donneur d\u2019ouvrage est autoris\u00e9 \u00e0 proc\u00e9der \u00e0 un nouvel appel d\u2019offres.<\/p>\n<p style=\"padding-left: 30px;\">[36] <span style=\"text-decoration: underline;\">Il n\u2019y a pas en droit qu\u00e9b\u00e9cois de droit acquis au contrat par le soumissionnaire conforme qui prouve que le contrat a \u00e9t\u00e9 octroy\u00e9 \u00e0 un soumissionnaire non-conforme et il n\u2019est pas exact de pr\u00e9tendre que si le budget estim\u00e9 du donneur d\u2019ouvrage n\u2019est pas communiqu\u00e9, il y a invitation \u00e0 des prix excessifs<\/span>.<\/p>\n<p style=\"padding-left: 30px;\">[37] En effet, le soumissionnaire doit \u00e9valuer ce qu\u2019il va lui en co\u00fbter pour r\u00e9aliser le travail demand\u00e9 et quel profit il en tirera. C\u2019est ainsi que se forment les r\u00e8gles du march\u00e9 de l\u2019offre de services.<\/p>\n<p style=\"padding-left: 30px;\">[38] CSSSAD a d\u2019autre part, tout simplement annul\u00e9 le contrat qui avait \u00e9t\u00e9 octroy\u00e9 au plus bas soumissionnaire et a proc\u00e9d\u00e9 \u00e0 conclure une entente de gr\u00e9 \u00e0 gr\u00e9 pour l\u2019ann\u00e9e courante 2013 pour ensuite refaire un nouvel appel d\u2019offres pour les trois ann\u00e9es suivantes, ce qui est une expression de totale bonne foi et transparence. Il n\u2019y a rien dans cette d\u00e9marche de CSSSAD qui puisse faire l\u2019objet de quelques reproches que ce soit par le Tribunal.<\/p>\n<p style=\"padding-left: 30px;\">[39] Il \u00e9tait sans doute essentiel que CSSSAD proc\u00e8de \u00e0 un nouvel appel d\u2019offres apr\u00e8s r\u00e8glement des besoins urgents. Autrement, elle donnait ouverture \u00e0 des accusations d\u2019iniquit\u00e9 et de pr\u00e9f\u00e9rence. Il fallait tout recommencer pour ne pas laisser croire qu\u2019un avantage quelconque avait \u00e9t\u00e9 conf\u00e9r\u00e9 \u00e0 un soumissionnaire en particulier.<\/p>\n<p>C&rsquo;est donc la disproportion du prix soumissionn\u00e9 qui fait \u00e9chouer Dumas&nbsp;dans son fardeau de d\u00e9montrer qu&rsquo;il aurait, selon la balance des probabilit\u00e9s, obtenu le contrat.<\/p>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n","protected":false},"excerpt":{"rendered":"<p>La semaine derni\u00e8re, je publiais un billet portant sur l&rsquo;utilisation des clauses de r\u00e9serve par les donneurs d&rsquo;ordre.
