Ces incitatifs prennent fr\u00e9quemment la forme d&rsquo;actions donnant droit \u00e0 une portion du dividende de l&#8217;employeur.<\/p>\n<p>Dans la r\u00e9cente d\u00e9cision <span style=\"text-decoration: underline; color: #0000ff;\"><em><a style=\"color: #0000ff; text-decoration: underline;\" href=\"https:\/\/www.canlii.org\/fr\/qc\/qccs\/doc\/2015\/2015qccs5058\/2015qccs5058.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">Quigley c Placements Banque Nationale inc<\/a>.<\/em><\/span>, la Cour sup\u00e9rieure a statu\u00e9 que les employ\u00e9s b\u00e9n\u00e9ficiant d&rsquo;un programme de bonification leur permettant de d\u00e9tenir des int\u00e9r\u00eats dans la soci\u00e9t\u00e9 de leur employeur&nbsp;ne peuvent exiger que la valeur de rachat de leurs actions diff\u00e8re de celle initialement convenue dans la&nbsp;convention entre actionnaires.<\/p>\n<p><strong>Les faits<\/strong><\/p>\n<p>Dans cette affaire, les employ\u00e9s occupaient d&rsquo;importants postes&nbsp;en finances au sein d&rsquo;une soci\u00e9t\u00e9 oeuvrant dans la gestion de portefeuilles et de placements. En plus de leur offrir un salaire annuel et des bonis de performance, l&#8217;employeur permettait aux&nbsp;employ\u00e9s de d\u00e9tenir des actions&nbsp;de son capital-actions par le biais d&rsquo;une autre soci\u00e9t\u00e9 qui \u00e9tait \u00e9galement son actionnaire majoritaire (\u00ab<strong>Soci\u00e9t\u00e9 9130<\/strong>\u00bb).<\/p>\n<p>Ainsi, les employ\u00e9s \u00e9taient actionnaires minoritaires&nbsp;de Soci\u00e9t\u00e9 9130, qui elle, d\u00e9tenait la majorit\u00e9 des actions de l&#8217;employeur. Cette soci\u00e9t\u00e9 fut&nbsp;incorpor\u00e9e par la d\u00e9fenderesse afin de servir de&nbsp;v\u00e9hicule corporatif.<\/p>\n<p>Or, la totalit\u00e9&nbsp;des actions de l&#8217;employeur a \u00e9t\u00e9 vendue \u00e0 la suite de changements en lien avec sa&nbsp;strat\u00e9gie d&rsquo;affaires. Dans le cadre de cette op\u00e9ration, Soci\u00e9t\u00e9 9130&nbsp;a achet\u00e9 les actions des demandeurs en fonction de leur valeur comptable.<\/p>\n<p><strong>R\u00e9clamation des demandeurs<\/strong><\/p>\n<p>Dans leur recours&nbsp;en oppression intent\u00e9 en vertu des articles 450 \u00e0 453 de la <span style=\"color: #0000ff;\"><em><a style=\"color: #0000ff;\" href=\"https:\/\/www.canlii.org\/fr\/qc\/legis\/lois\/rlrq-c-s-31.1\/derniere\/rlrq-c-s-31.1.html?resultIndex=5\">Loi sur les soci\u00e9t\u00e9s par actions<\/a><\/em><\/span>, les demandeurs reprochent \u00e0&nbsp;la d\u00e9fenderesse d&rsquo;avoir adopt\u00e9 un comportement oppressif et abusif dans le cadre de la vente des actifs de l&#8217;employeur. Ils soutiennent que&nbsp;c&rsquo;est la valeur marchande de l&rsquo;entreprise de l&#8217;employeur influenc\u00e9e par&nbsp;la vente des actifs qui aurait d\u00fb \u00eatre consid\u00e9r\u00e9e, par opposition \u00e0 la valeur aux livres. Les demandeurs invoquent entre autres que l&rsquo;utilisation de la valeur marchande de l&rsquo;entreprise pour le rachat de leurs actions faisait partie de leurs attentes raisonnables.<\/p>\n<p><strong>D\u00e9cision<\/strong><\/p>\n<p>Apr\u00e8s analyse des&nbsp;crit\u00e8res \u00e0 satisfaire dans le cadre d&rsquo;un recours en oppression, la Cour \u00e9nonce que l&rsquo;utilisation de la valeur marchande de l&rsquo;entreprise dans la d\u00e9termination de la valeur des actions des demandeurs ne pouvait faire partie de leurs attentes raisonnables. Elle souligne notamment que la convention entre actionnaires de Soci\u00e9t\u00e9 9130 est claire quant \u00e0 la d\u00e9termination de la valeur des actions, stipulant \u00e0 ce sujet que la valeur aux livres devait \u00eatre utilis\u00e9e.<\/p>\n<p>La Cour ajoute que le caract\u00e8re incitatif de la r\u00e9mun\u00e9ration des employ\u00e9s n&rsquo;\u00e9tait pas de nature \u00e0 leur laisser croire que la valeur marchande de l&rsquo;entreprise devrait \u00eatre utilis\u00e9e en cas de rachat. En effet, la possibilit\u00e9 de d\u00e9tenir des actions de l&#8217;employeur visait \u00e0 inciter les employ\u00e9s \u00e0 \u00eatre plus entreprenants. Ce faisant, la Cour n&rsquo;a pas eu \u00e0 \u00e9valuer les autres crit\u00e8res relatifs au&nbsp;recours en oppression.<\/p>\n<p>Cette d\u00e9cision nous enseigne donc que les attentes raisonnables des actionnaires-employ\u00e9s se limitent \u00e0 ce qui est pr\u00e9vu dans la convention entre actionnaires qui les lie.
