(ci-apr\u00e8s \u00ab <strong>Sudenco<\/strong> \u00bb) et M. Denis Tancr\u00e8de, pr\u00e9sident de Sudenco, en appelaient d\u2019un jugement de la Cour sup\u00e9rieure par lequel ils avaient \u00e9t\u00e9 condamn\u00e9s \u00e0 payer au Club de Golf de l\u2019\u00eele de Montr\u00e9al (2004) inc. (ci-apr\u00e8s le \u00ab <strong>Club<\/strong> \u00bb), la somme de 224 855,82 $ avec int\u00e9r\u00eats, en relation avec une transaction d\u2019acquisition des actifs du complexe du golf.<\/p>\n<p>Nous n&rsquo;aimons pas trop entrer dans le d\u00e9tail&nbsp;des faits, mais une l\u00e9g\u00e8re mise en contexte s&rsquo;impose tout de m\u00eame.&nbsp;Sudenco et M. Tancr\u00e8de \u00e9taient locataires d\u2019un immeuble dont la propri\u00e9taire \u00e9tait la Communaut\u00e9 Urbaine de Montr\u00e9al (ci-apr\u00e8s \u00ab <strong>C.U.M.<\/strong> \u00bb), devenue par la suite Ville de Montr\u00e9al (ci-apr\u00e8s la \u00ab <strong>Ville<\/strong> \u00bb).&nbsp;Dans le cadre des op\u00e9rations du Club, une r\u00e9clamation pour loyers impay\u00e9s avait \u00e9t\u00e9 pr\u00e9sent\u00e9e par la C.U.M. pendant l\u2019ann\u00e9e pr\u00e9c\u00e9dant la transaction de vente des actifs.<\/p>\n<p>L&rsquo;acheteur, soit le Club, a effectu\u00e9&nbsp;une v\u00e9rification diligente et a obtenu la confirmation d\u2019absence de d\u00e9faut de Sudenco en vertu des baux qui les liaient avec la Ville. Cette v\u00e9rification diligente a \u00e9galement permis aux avocats des acheteurs de constater un retard dans le paiement des taxes. Cependant, la juge de premi\u00e8re instance a retenu que M. Tancr\u00e8de n\u2019avait pas inform\u00e9 le Club de l\u2019avis de r\u00e9clamation envoy\u00e9 par la Ville pour les loyers ant\u00e9rieurs.<\/p>\n<p><strong>Cour sup\u00e9rieure<\/strong><\/p>\n<p>La question pos\u00e9e \u00e9tait la suivante:&nbsp;le Club, qui avait proc\u00e9d\u00e9 \u00e0 une&nbsp;v\u00e9rification diligente, aurait-il d\u00fb conna\u00eetre l\u2019existence de cette r\u00e9clamation?<\/p>\n<p>La juge en arrive \u00e0 la conclusion que Sudenco et M. Tancr\u00e8de ont fait preuve de r\u00e9ticence et ont \u00e9t\u00e9 s\u00e9lectifs dans la divulgation&nbsp;des informations relatives \u00e0 la r\u00e9clamation de la Ville pour les loyers vers\u00e9s \u00e0 la C.U.M. pour les ann\u00e9es pr\u00e9c\u00e9dant la vente et que, par cons\u00e9quent, ils n\u2019ont pas respect\u00e9 la moralit\u00e9 contractuelle qui d\u00e9coule du devoir d\u2019agir en toute bonne foi dans la phase pr\u00e9contractuelle.<\/p>\n<p><strong>Cour d\u2019appel<\/strong><\/p>\n<p>En appel, il fallait donc d\u00e9terminer&nbsp;si la juge de premi\u00e8re instance a err\u00e9 en donnant \u00e0 l\u2019obligation de renseignement du vendeur une port\u00e9e plus large que le corolaire qui constitue l\u2019obligation des acheteurs de se renseigner.<\/p>\n<p>La Cour d\u2019appel en arrive \u00e0 la conclusion qu\u2019il est vrai que les acheteurs avaient, comme corolaire \u00e0 l\u2019obligation de renseignement, leur propre obligation de s\u2019informer des risques associ\u00e9s \u00e0 l\u2019acquisition des actifs et des obligations qu\u2019ils pourraient devoir assumer.<\/p>\n<p>Cependant, en taisant l\u2019information qu\u2019il d\u00e9tenait sur la r\u00e9clamation de la Ville au moment de la vente, M.
