{"id":8597,"date":"2016-06-06T09:31:46","date_gmt":"2016-06-06T13:31:46","guid":{"rendered":"https:\/\/wp.edilex.com\/loppression-dun-employe-actionnaire\/"},"modified":"2024-03-26T10:57:33","modified_gmt":"2024-03-26T14:57:33","slug":"loppression-dun-employe-actionnaire","status":"publish","type":"post","link":"https:\/\/edilex.com\/fr\/blog\/2016\/06\/06\/loppression-dun-employe-actionnaire\/","title":{"rendered":"L&rsquo;oppression d&rsquo;un employ\u00e9-actionnaire"},"content":{"rendered":"<p>Dans une <span style=\"color: #0000ff;\"><a style=\"color: #0000ff;\" href=\"https:\/\/www.canlii.org\/fr\/qc\/qccs\/doc\/2016\/2016qccs1861\/2016qccs1861.html?searchUrlHash=AAAAAQAhSG9lbHNjaGVyIGMuIFByYXR0IDIwMTYgUUNDUyAxODYxAAAAAAE&amp;resultIndex=1\" target=\"_blank\" rel=\"noopener noreferrer\">d\u00e9cision r\u00e9cente<\/a><\/span>,&nbsp;la cour sup\u00e9rieure&nbsp;\u00e9tait appel\u00e9e \u00e0 trancher un litige dans le dossier du&nbsp;cong\u00e9diement d\u2019une actionnaire minoritaire.<\/p>\n<p>En 2007, trois individus d\u00e9marrent une clinique m\u00e9dicale priv\u00e9e, la Clinique Access Med inc. Ils sont tous trois employ\u00e9s, administrateurs et actionnaires \u00e0 parts \u00e9gales de la soci\u00e9t\u00e9.&nbsp;En d\u00e9cembre 2012, on cong\u00e9die&nbsp;l\u2019une des actionnaires et, du m\u00eame coup, les deux autres actionnaires&nbsp;d\u00e9mettent cette derni\u00e8re de ses fonctions d\u2019administratrice de la soci\u00e9t\u00e9. &nbsp;Elle r\u00e9clame donc une indemnit\u00e9 pour&nbsp;cong\u00e9diement injustifi\u00e9, des dommages moraux ainsi que des dommages pour atteinte \u00e0 sa r\u00e9putation. La demanderesse pr\u00e9tend \u00e9galement que les d\u00e9fendeurs ont agi de mani\u00e8re abusive au moment de son cong\u00e9diement et de la r\u00e9vocation de son titre d\u2019administrateur.<\/p>\n<p>Cette d\u00e9cision rappelle qu\u2019un actionnaire minoritaire peut s\u2019adresser au tribunal pour obtenir une ordonnance visant \u00e0 redresser la situation dans le cas o\u00f9 la soci\u00e9t\u00e9 ou ses administrateurs agissent abusivement \u00e0 son \u00e9gard ou s\u2019ils se montrent injustes en lui portant pr\u00e9judice.&nbsp; En faisant r\u00e9f\u00e9rence \u00e0 l\u2019article 450 de la <em>Loi sur les soci\u00e9t\u00e9s par actions<\/em>, le tribunal r\u00e9it\u00e8re que s\u2019il est \u00e9tabli qu\u2019une ou des attentes raisonnables d\u2019un actionnaire ont \u00e9t\u00e9 frustr\u00e9es, on doit d\u00e9terminer si le comportement reproch\u00e9 constitue un abus, un pr\u00e9judice ou une omission injuste de tenir compte des int\u00e9r\u00eats en cause.<\/p>\n<p>Le tribunal conclue donc qu\u2019il y a abus de droit lorsqu\u2019il y a d\u00e9s\u00e9quilibre entre la protection des droits du plaignant et la libert\u00e9 d\u2019action des dirigeants, tout en tenant compte des int\u00e9r\u00eats de la soci\u00e9t\u00e9 elle-m\u00eame.&nbsp; Il est primordial d\u2019analyser le comportement des administrateurs pour \u00e9valuer si ceux-ci ont pris la d\u00e9cision \u00e0 l\u2019avantage de la soci\u00e9t\u00e9 ou \u00e0 leur propre avantage.<\/p>\n<p>Dans le pr\u00e9sent dossier, plusieurs gestes ont \u00e9t\u00e9 soumis au tribunal comme \u00e9tant des gestes ayant frustr\u00e9 la demanderesse de ses attentes raisonnables. Voici quelques gestes qui ont \u00e9t\u00e9 consid\u00e9r\u00e9s par la juge comme des gestes d\u2019oppression des d\u00e9fendeurs dans le dossier :<\/p>\n<ul>\n<li>Augmentation des salaires des deux coactionnaires restants de mani\u00e8re r\u00e9troactive, r\u00e9duisant par le fait m\u00eame la valeur des actions de l\u2019actionnaire cong\u00e9di\u00e9e;<\/li>\n<li>D\u00e9clarations de dividendes aux actionnaires, tout en retenant la part de cette derni\u00e8re sans justification;<\/li>\n<li>Refus de fournir des informations financi\u00e8res, alors qu\u2019elle \u00e9tait toujours actionnaire;<\/li>\n<li>Absence de convocation aux assembl\u00e9es des actionnaires.<\/li>\n<\/ul>\n<p>C\u2019est sans grande surprise que le tribunal arrive donc \u00e0 la conclusion que le cong\u00e9diement de la dame li\u00e9 aux gestes des d\u00e9fendeurs d\u00e9crits ci-haut constitue de l\u2019oppression \u00e0 son endroit, menant aux r\u00e9parations pr\u00e9vues \u00e0 la <em>Loi sur les soci\u00e9t\u00e9s par actions<\/em>.<\/p>\n<p>Le rem\u00e8de retenu par le tribunal est donc le rachat des actions de la demanderesse. Les experts retenus ont t\u00e9moign\u00e9 et instruit le tribunal sur la valeur des actions dans les pr\u00e9sentes circonstances. Le tribunal \u00e9tablit la valeur des actions de la dame et ordonne aux deux coactionnaires, solidairement, de racheter les actions de cette derni\u00e8re au prix \u00e9tabli, dans un d\u00e9lai de 90 jours de la date du jugement, ordonnant aux parties de payer chacune un tiers des frais reli\u00e9s au transfert des actions.<\/p>\n<p>De plus, le tribunal accordera six mois de salaire, pour cong\u00e9diement injustifi\u00e9, mais refusera d\u2019accorder des dommages moraux et des dommages pour atteinte \u00e0 la r\u00e9putation. Le tribunal condamne \u00e9galement la partie d\u00e9fenderesse \u00e0 payer 75 000 $ \u00e0 titre de remboursement des honoraires des avocats de la demanderesse en application de l\u2019une des clauses des r\u00e8glements de la soci\u00e9t\u00e9.<\/p>\n<p>En bref, puisque les r\u00f4les d\u2019employ\u00e9s, d\u2019administrateurs et d\u2019actionnaires sont fr\u00e9quemment occup\u00e9s simultan\u00e9ment, il faut faire preuve d\u2019une grande prudence quand vient le temps de traiter du cong\u00e9diement ou de mesure disciplinaire d\u2019un coactionnaire. En effet, il faut toujours se rappeler qu\u2019un actionnaire minoritaire b\u00e9n\u00e9ficie de droits en vertu de <em>Loi sur les soci\u00e9t\u00e9s par actions<\/em> et pourrait donc vous accuser d\u2019oppression.
