Pour d\u00e9mystifier le bail \u00e0 pourcentage et s&rsquo;y retrouver dans le cadre d&rsquo;une n\u00e9gociation, voici quelques concepts cl\u00e9s qui permettront \u00e0 tout intervenant d&rsquo;en comprendre les bases.<\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\"><strong>Le principe<\/strong><\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\">Le bail \u00e0 pourcentage est un bail commercial standard, sauf en ce qui a trait aux diff\u00e9rents aspects de sa contrepartie. Un tel bail contient g\u00e9n\u00e9ralement deux types de loyers, \u00e0 savoir un montant fixe, nomm\u00e9 le loyer de base, et un montant variable, nomm\u00e9 le loyer \u00e0 pourcentage. C&rsquo;est ce loyer \u00e0 pourcentage qui am\u00e8ne toute la complexit\u00e9 de ce bail en se basant sur les ventes r\u00e9sultant de l&rsquo;exploitation du local par le locataire.<\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\">La d\u00e9termination du loyer \u00e0 pourcentage commence g\u00e9n\u00e9ralement par un calcul de ce qu&rsquo;on appelle le point de rupture naturel. Celui-ci repr\u00e9sente le montant de ventes \u00e0 partir duquel un loyer \u00e0 pourcentage devra \u00eatre pay\u00e9. On calcule ce point de rupture naturel en divisant le loyer de base (mensuel ou annuel) par le pourcentage du loyer.<\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\">Par exemple, pour un loyer de base mensuel de 5&nbsp;000&nbsp;$ et un loyer \u00e0 pourcentage de 6&nbsp;% par mois, le point de rupture naturel est calcul\u00e9 ainsi&nbsp;: 5&nbsp;000&nbsp;$&nbsp;\/&nbsp;6&nbsp;%&nbsp;=&nbsp;83&nbsp;333&nbsp;$<\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\">La deuxi\u00e8me portion du calcul d&rsquo;un loyer \u00e0 pourcentage utilise le point de rupture naturel. Dans l&rsquo;exemple pr\u00e9c\u00e9dent, le locataire doit au locateur un loyer \u00e0 pourcentage mensuel \u00e9gal \u00e0 6&nbsp;% des ventes mensuelles du locataire au-del\u00e0 de 83&nbsp;333&nbsp;$.<\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\">Cela signifie que dans le cas o\u00f9 les ventes du locataire \u00e9quivalent, \u00e0 la fin du mois, \u00e0 moins de 83&nbsp;333&nbsp;$, aucun loyer \u00e0 pourcentage n&rsquo;est d\u00fb. Il est important de noter que pour \u00e9viter cette situation, plusieurs locateurs pr\u00e9f\u00e8rent un loyer annuel, lequel permet d&rsquo;\u00e9viter de ne pas \u00eatre pay\u00e9 durant les saisons creuses.<\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\"><strong>Pourquoi un bail \u00e0 pourcentage<\/strong><\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\">On peut penser \u00e0 premi\u00e8re vue que le bail \u00e0 pourcentage est \u00e0 l&rsquo;unique avantage du locateur. En effet, le locateur profite, par ce syst\u00e8me, de la popularit\u00e9 du locataire sans avoir \u00e0 participer dans ses pertes. N\u00e9anmoins, le syst\u00e8me de loyer \u00e0 pourcentage donne au locataire un acc\u00e8s central \u00e0 la client\u00e8le par le biais de sa localisation dans les centres commerciaux. En effet, il est g\u00e9n\u00e9ralement reconnu que les commerces d&rsquo;un centre commercial profitent de la pr\u00e9sence des uns et des autres. Ainsi, une offre diversifi\u00e9e sans duplication attirera un plus grand nombre de clients.<\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\">En r\u00e9sum\u00e9, le bail \u00e0 pourcentage vise \u00e0 cr\u00e9er une relation gagnant-gagnant dans laquelle le locataire profite d&rsquo;un environnement propice \u00e0 l&rsquo;exploitation et le locateur participe au succ\u00e8s de ses locataires.&nbsp;<\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\"><strong>La r\u00e9daction&nbsp;<\/strong><\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\">La n\u00e9gociation d&rsquo;une clause de loyer \u00e0 pourcentage peut s&rsquo;av\u00e9rer difficile vu les positions \u00e9loign\u00e9es des parties. Si le pourcentage s&rsquo;av\u00e8re impossible \u00e0 n\u00e9gocier, il peut \u00eatre utile pour le locataire de tenter une n\u00e9gociation d&rsquo;un point de rupture \u00e0 la hausse, soit au-del\u00e0 du point de rupture naturel.&nbsp;<\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\">Il est de plus souhaitable pour le locateur d&rsquo;exiger d&rsquo;ajouter au bail une clause sur la pr\u00e9paration r\u00e9guli\u00e8re de rapports des ventes par le locataire. Ces rapports sont utiles dans le cadre de la d\u00e9termination du loyer \u00e0 pourcentage. Certains locateurs peuvent aller jusqu&rsquo;\u00e0 exiger l&rsquo;audition de tels rapports.<\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\">Il est aussi recommand\u00e9 de pr\u00e9voir au bail une d\u00e9finition d\u00e9taill\u00e9e des ventes (brutes ou nettes) du locataire. Notamment, le terme \u00ab&nbsp;ventes&nbsp;\u00bb comprend-il la totalit\u00e9 des ventes du locataire&nbsp;? Ou uniquement les ventes reli\u00e9es \u00e0 certains produits&nbsp;? Doit-on calculer les ventes internationales et les ventes en ligne&nbsp;? Et finalement, doit-on inclure dans le calcul les taxes, remboursements, ch\u00e8ques sans provision, charges, etc. ? Voici quelques-unes des questions qu&rsquo;il faut se poser dans le cadre de la r\u00e9daction de cette d\u00e9finition.<\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\">De plus, et puisque le locateur base ses revenus sur l&rsquo;entreprise du locataire, il est recommand\u00e9 d&rsquo;interdire au locataire de fermer ses locaux durant certaines p\u00e9riodes importantes telles que durant la p\u00e9riode des f\u00eates.<\/p>\n<p class=\"PARA1\" style=\"text-align: justify;\">Il est finalement important de pr\u00e9voir au bail la m\u00e9thode de calcul du loyer \u00e0 pourcentage, et ce, m\u00eame si celle-ci peut sembler \u00e9vidente.
